Private Practice (Mulholland

Brodie was with Mulholland
Fairburn, the leading Richmond, BC, law firm, for almost 20 years and has
continued that tradition in establishing Mulholland Law Offices. Details of his
private practice experience are set out below.
Corporate/Commercial:
- Negotiating and drafting various
corporate/commercial agreements including acquisitions, financing,
shareholder agreements, partnerships, joint ventures, franchising, licensing
and distribution agreements
- Lead counsel in numerous multi-million
dollar:
- Technical, complex corporate
reorganizations, restructuring and tax related transactions

Running Annual General Meetings
Boston Pizza International Inc.:
Brodie was hired by T & M
Management Services Ltd. to establish the legal department for Boston Pizza
International Inc., Boston Pizza Restaurants (U.S.A.), Inc. and related
corporations (the "BP Group") from September, 2000 to August, 2001. While with
the BP Group Brodie acted as Vice-President and General/Corporate Counsel and
reported directly to the President.
The BP Group franchises restaurants using the
Boston Pizza system, which is a sit down casual dining concept, featuring pizza
and pasta dishes. Boston Pizza is the largest casual dining concept in Canada,
with its mature franchises in Western Canada. At the time Brodie was with the BP Group, it was rapidly
expanding into Eastern Canada and the U.S.A.
At the BP Group Brodie was responsible for overseeing
and implementing all matters of a legal nature, throughout the world, including
the following:
- Establishing a legal department.
- Overseeing all legal aspects of the expansion
of the BP Group into Eastern Canada and the U.S.A.
- Overseeing, strategizing regarding and
revising the BP Group’s Franchise Documentation System in conjunction with
outside legal counsel, including ensuring compliance:
- In Canada with Alberta and Ontario Franchise
